I've had the same problem yesterday, and I can recommand you to read
that web page and modify the kernel source as he explains it to find out
what's actually wrong with your FS :

My problem was that I had wrong values in my mtd :
uclinux[mtd]: RAM probe address=0x800b9afc size=0xbe88c000
you see the size was an absoudous value since my RAM is only 32Mb from
0x8000000 !
Try this and read the article, you'll maybe find some beginning of an
answer.
